Formation Bio was founded in 2016 by Benjamine Liu and Linhao Zhang.[2][3][4] The company originated from work Liu conducted as a computational biologist at the University of Oxford, where he studied machine learning applications for identifying therapeutic candidates for neurodegenerative diseases.[5] Liu has cited the limited capacity of pharmaceutical companies to advance drug candidates through clinical development as a basis for the company's founding.[5][4][6][1]

Initially operating as TrialSpark, the company developed technology to streamline clinical trial execution in support of its long-term goal of building a drug development organization.[6] The company later rebranded as Formation Bio as it expanded its internal pipeline through in-licensing and acquisition of clinical-stage programs. In 2019, Liu and Zhang partnered with former Novartis chief executive Joseph Jimenez to establish Aditum Bio, a venture firm that acquired drug candidates and developed them through separate companies, with Formation Bio as a minority investor.[1] Formation Bio held a minority stake in Versanis Bio, a company founded by Aditum Bio in 2021, which was acquired by Eli Lilly in 2023 for up to $1.925 billion.[10][11]

In June 2025, Formation Bio licensed gusacitinib, a Phase 3-stage oral dual JAK/SYK inhibitor, to Sanofi in a deal worth up to €545 million in upfront and milestone payments.[12]

The company has been listed in the 2025 CNBC Disruptor 50,[4] Fierce Biotech’s 2025 Fierce 15,[13] BioSpace’s 2025 40 Under 40,[14][15] and received the 2024 Endpoints 11 award.[16]

Business model

Formation Bio partners with, acquires, and in-licenses clinical-stage drug candidates from pharmaceutical companies, biotechnology firms, and research institutions. The company focuses on advancing these assets through clinical proof of concept and later stages of development.[17][3] Formation Bio typically acquires drug candidates in early-stage clinical development — typically those that have not yet completed Phase 2 clinical trials — and develops them in-house leveraging its AI platform. After reaching clinical milestones, the company outlicenses or partners drug assets for further development and commercialization.[4][1]

Formation Bio uses a “hub-and-spoke” model in which each asset is placed into a separate subsidiary or “NewCo”, which serves as a dedicated funding and operational vehicle for the specific program.

The company’s leadership and advisory team comprises individuals from both the AI and pharma industries.

Partnerships

Formation Bio, OpenAI and Sanofi announced a collaboration in May 2024 to develop custom AI models for use in drug development.[18][19][20] In November 2024, the first outcome of the collaboration between the three companies was launched, an AI tool to speed patient recruitment for clinical trials named Muse.[19][4]

Funding

Since its founding, the company has raised over $600 million from investors including Sequoia Capital, Michael Moritz, Thrive Capital, and Andreessen Horowitz.[4] A Series D financing round of approximately $372 million was announced in June 2024 to support expansion of the company’s development pipeline and AI technology platform.[8][9][19]
