FiberCop S.p.A. is an Italian telecommunications company that operates and develops the fixed access network infrastructure. It provides authorized operators with wholesale access services to its infrastructure.[3][4]

Established in November 2020, the company became operational on April 1, 2021, following the transfer of TIM’s secondary network and the merger of Flash Fiber S.r.l. into the new entity.[5]

On July 1, 2024, TIM finalized the sale of its fixed network infrastructure and wholesale activities (NetCo) to Optics BidCo, a company controlled by KKR and the Italian Ministry of Economy and Finance, with FiberCop absorbing these assets.[6] In December 2024, FiberCop became the sole operating entity under the control of Optics HoldCo S.r.l.[2]

2020-2021: incorporation and launch

FiberCop was incorporated in November 2020[2] and began operations on April 1, 2021, following an agreement between TIM, KKR Infrastructure, and Fastweb, which involved transferring TIM’s secondary network assets and merging Fastweb’s stake in Flash Fiber into the new entity.[7]

At launch, Massimo Sarmi was appointed Chairman and Carlo Filangieri became CEO.[8]

2022-2023: NetCo project

In July 2022, TIM announced a business plan to separate its fixed network assets (NetCo) from its service operations (ServCo). By October 2023, TIM accepted a binding offer from KKR regarding NetCo, which included FiberCop.[9]

On November 6, 2023, TIM signed a transaction agreement to transfer its primary network assets, wholesale operations, and the entire stake in the subsidiary Telenergia to FiberCop, preparatory to the subsequent sale of TIM’s stake in FiberCop to Optics BidCo (KKR).[10]

2024: ownership change

The divestment of TIM’s network assets to KKR was completed on July 1, 2024. TIM transferred its fixed network infrastructure and wholesale operations into FiberCop, and the company’s entire share capital was acquired by Optics BidCo.[11]

In June 2024, Fastweb sold its 4.5% stake to Optics BidCo.[12] Upon the July 1 closing, FiberCop confirmed Massimo Sarmi as Chairman and appointed Luigi Ferraris as Chief Executive Officer.[13][14]

2025-2026: recent developments

On January 23, 2025, Luigi Ferraris resigned[15] and Massimo Sarmi assumed the role of CEO.[16]

On December 4, 2025, FiberCop announced a partnership with Microsoft to develop a national edge cloud infrastructure. This project involves integrating FiberCop’s edge network components with Microsoft Azure Local.[17]

In January 2026, FiberCop was named the Fiber Infrastructure Partner for the Milano Cortina 2026 Olympic and Paralympic Winter Games. As of 2026, FiberCop’s network covers more than 6,000 municipalities.[18][19]

Operations

FiberCop operates as a wholesale-only provider, offering network infrastructure and access services to telecommunications operators without marketing services directly to end-users.[20]

The company’s core operations include the management, maintenance, and expansion of the fixed access network infrastructure, as well as providing auxiliary services such as colocation for third-party operators at its technical sites.[6]

Following the network spin-off, FiberCop’s infrastructure included 14.7 million active lines across FTTC, FTTH, ADSL, and voice technologies as of late 2024.[21] By the first half of 2025, the company’s FTTH infrastructure reached over 13.2 million real estate units.[22][23][24]

According to the Italian communications authority AGCOM, FiberCop operates within a national market where high-speed broadband lines (FTTC and FTTH) represent the majority of fixed-line accesses.[25]

Regulation

Following the separation of TIM’s fixed access network, the Italian communications authority AGCOM reviewed the market structure to evaluate the new ownership model.[6]

The relationship between FiberCop and TIM is governed by a Master Service Agreement, which regulates mutual access and wholesale services between the two companies.[6][26]

On March 11, 2026, AGCOM officially designated FiberCop as a wholesale-only operator under Article 91 of the Electronic Communications Code. The authority identified an expansion of fully competitive areas within Italy – which were consequently deregulated – while noting a lack of effective competition in the remaining markets, confirming FiberCop as an SMP operator.[27]

Financial results

In its annual financial statements as of December 31, 2024, FiberCop reported revenues of €2.577 billion and an organic EBITDA of €1.654 billion. The company’s net financial debt was recorded at €11.147 billion.[2]

Corporate structure and shareholders

Following its 2024 corporate reorganization, FiberCop became a wholly owned subsidiary of Optics HoldCo S.r.l.[2]

The company’s ownership structure consists of a consortium of investors, including funds managed by KKR, ADIA, CPPIB, the Italian Ministry of Economy and Finance, and F2i.[28]

Governance

Massimo Sarmi serves as Chairman and Chief Executive Officer, while Ernst & Young S.p.A. serves as the independent auditing firm.[2]
